Terms & Conditions
By purchasing from Seller, Buyer agrees to these Terms and Conditions.
Payments
Unless otherwise agreed in writing, payment is due at the time of order. For approved accounts, Hospital Hub may extend Net 30 payment terms from the invoice date. Accepted forms of payment include credit and debit cards, ACH, wire transfer, PayPal, and approved purchase orders. Late payments may be subject to interest, suspension of future orders, or other remedies permitted by law.Returns
All product returns require prior written authorization (“RMA”) from Buyer’s sales representative, and the RMA must be included with the return shipment. Products are eligible for return within fourteen (14) days of delivery only if unused, unopened, and in original condition, with Buyer responsible for all return shipping costs. Refunds shall be issued exclusively in the form of store credit, and shipping fees are non-refundable. All credits issued by Seller shall not expire.
Defective or Damaged Products
Buyer shall notify Seller promptly upon discovery of any defective product. Damaged products received upon delivery shall, at Seller’s sole discretion, be replaced at Seller’s expense or, if replacement is unavailable, credited to Buyer’s account.
Recalls
Products subject to an FDA or manufacturer recall shall be replaced at no cost to Buyer or, if replacement is unavailable, credited to Buyer’s account, with Seller covering return shipping.
Limitation of Liability
Seller’s liability shall be limited solely to the replacement of products or issuance of credit as provided herein. Seller shall not be liable for any incidental, consequential, or indirect damages arising from the purchase or use of its products.
Governing Law and Venue
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict of law principles. Any disputes arising hereunder shall be resolved exclusively in the state or federal courts located in Pennsylvania, and Buyer consents to the jurisdiction of such courts.
Entire Agreement
These Terms and Conditions constitute the entire agreement between Seller and Buyer with respect to the purchase of products. They supersede all prior or contemporaneous agreements, understandings, negotiations, and communications, whether written or oral, including any conflicting terms contained in Buyer’s purchase orders or other documents, unless expressly agreed to in writing by Seller.
Severability
If any provision of these Terms and Conditions is determined to be invalid, illegal, or unenforceable in whole or in part, the remaining provisions shall remain in full force and effect and shall be construed to give effect to the intent of the parties.
Force Majeure
Seller shall not be liable or responsible for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, war, terrorism, labor disputes, supply chain disruptions, pandemics, epidemics, governmental actions, or power/internet outages. In such cases, Seller’s obligations shall be suspended for the duration of the event, and Seller shall resume performance as soon as reasonably practicable.
Waiver
No failure or delay by Seller in exercising any right, power, or remedy under these Terms and Conditions shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise of the same or any other right, power, or remedy.
Attorneys’ Fees
In the event of any legal action or proceeding arising out of or relating to these Terms and Conditions, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs from the non-prevailing party.
Headings
The section headings contained in these Terms and Conditions are for convenience only and shall not affect the interpretation or construction of any provision herein.
Seller’s delivery of product shall constitute acceptance of, and agreement to be bound by, these Purchase Terms and Conditions.
Packaging and Shelf Life
All items must be delivered in the original manufacturer’s packaging with sterility intact. Unless otherwise expressly agreed in writing, all products must have a remaining shelf life of at least one (1) year from the date of delivery.
Shipping and Risk of Loss
Hospital Hub may provide pre-paid shipping labels for convenience; express labels are for temperature-sensitive items only. All shipments are FOB Hospital Hub’s location, meaning risk of loss remains with the seller until goods are received and accepted at our facility. Pre-paid labels do not include insurance, and sellers are responsible for arranging coverage if desired. Goods must be packaged securely to prevent damage in transit; improperly packaged or damaged items may be rejected, adjusted, or destroyed.Title and Warranty
Seller warrants that it is the lawful owner of the goods supplied and has good and marketable title thereto, free and clear of all liens, claims, or encumbrances. Chain of custody documentation shall be provided only as required by law.
Indemnification
Seller hereby binds itself and all interested parties to defend, indemnify, and hold harmless The Hospital Hub, LLC, its officers, employees, and agents, against any and all claims, demands, liabilities, losses, or damages arising out of or relating to the goods provided.
Non-Conforming Goods
If any goods fail to conform to these Purchase Terms or to Seller’s warranties, The Hospital Hub, LLC may, at its sole discretion, reject such goods, return them at Seller’s expense, or require prompt replacement with conforming goods at Seller’s cost. Payment for non-conforming goods shall not constitute acceptance, limit, or waive any rights or remedies available to The Hospital Hub, LLC under these Terms or applicable law.
Recalls
If any goods are subject to an FDA or manufacturer recall, whether voluntary or involuntary, Seller shall promptly notify The Hospital Hub, LLC and, at Buyer’s option, replace the affected goods at Seller’s expense or refund/credit the purchase price in full. Seller shall bear all costs of return shipping for recalled goods.
Payment
Unless otherwise agreed in writing, Hospital Hub will issue payment within 30 days of goods passing Quality Control. Any final adjustments to the offer and payment dates will be provided in writing upon completion of Quality Control. Payments will be made via the method specified during onboarding unless otherwise arranged. Vendors are responsible for providing accurate invoicing and payment details prior to release of funds.Limitation of LiabilitySeller’s liability shall be unlimited with respect to indemnification obligations but otherwise limited solely to the replacement of goods or issuance of credit as provided herein. The Hospital Hub, LLC shall not be liable for any incidental, consequential, or indirect damages arising from the purchase or use of Seller’s goods.
